Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the point-of-sale and ordering software, analytics, and related services (collectively, the “Service”) provided by QR WISE CORP. (“Company”, “we”, “us”, or “our”).
By signing up for an account, installing or accessing any part of the Service (including via app stores), or by clicking “I Agree,” you agree to be bound by these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you (“You” or “Merchant”) have authority to bind that entity.
By using the Service, you acknowledge that you have read, understood, and agree to these Terms.
Definitions
- Admin Console: Merchant’s administrative interface for configuration, menus, pricing, locations, users, and integrations.
- Customer: End user placing or paying for orders.
- Customer Data: Personal data and order information relating to Customers.
- Devices: Tablets, phones, kiosks, printers, scanners, kitchen displays, and other hardware used with the Service.
- Locations: Each physical venue (e.g., cafe, restaurant, kiosk) that uses the Service.
- Order Channels: (a) Table ordering via QR code; (b) Self-ordering via kiosk; (c) Over-the-counter ordering.
- Output Data: Aggregated or de-identified data generated by the Service (e.g., analytics, benchmarks).
- Payment Processor: Third-party payment service used for card or digital payments.
- Software: Apps, SDKs, firmware, and updates provided by Company.
- Subscription: The plan selected with applicable fees and limits.
Eligibility
- You must be legally able to enter into contracts and use the Service for business purposes only.
- You must provide accurate account information, maintain credential security, and promptly update changes.
- Each Location requires a valid Subscription unless otherwise stated.
License and Access
Subject to these Terms and timely payment of fees, Company grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for internal business operations.
Restrictions include: copying or modifying Software, reverse engineering, circumventing limits, unlawful use, reselling, or competing with the Company.
Hardware; Connectivity; QR Codes & Kiosks
- You are responsible for Devices and peripherals unless provided by Company.
- The Service requires reliable internet and local network connectivity.
- You must generate and maintain correct QR codes at seating areas.
- You are responsible for kiosk placement, compliance, and supervision.
Payments; Fees; Taxes
- All fees (Subscription, per-order, hardware, etc.) are payable plus taxes.
- Billing is recurring; late amounts may incur penalties.
- Payments from Customers are processed by your chosen Payment Processor.
- You are responsible for taxes, tips, surcharges, and compliance with tax laws.
Menu & Orders
- You are responsible for menu content, accuracy, allergens, and compliance with labeling laws.
- Order Channels may show estimated wait times; these are not guarantees.
- You are responsible for cancellations, refunds, and communicating policies to Customers.
- You must comply with age-restricted item laws.
Analytics
The Service may provide analytics such as sales summaries, peak hours, or wait times. Analytics are informational and depend on configurations, data completeness, and integrations.
Data Privacy
- Customer Data is owned by you, but licensed to Company for operation and improvement of the Service.
- You grant Company rights to use your logos, menus, and branding within the Service.
- Company owns Output Data and may use it in aggregated form.
- Use of personal data is described in our Privacy Policy.
- Company will notify you of any security incidents affecting Customer personal data.
Acceptable Use
You must not upload unlawful or harmful content, violate privacy rights, interfere with operations, submit malicious code, perform unauthorized testing, scrape without API use, or use the Service for life-critical functions.
Third-Party Services & Integrations
The Service may integrate with third-party platforms. These are governed by their own terms. Company is not responsible for their content or performance.
Maintenance & Support
- Company targets commercially reasonable uptime but maintenance may occur.
- Support is provided as described in your plan.
- Company reserves the right to provide updates or changes.
Intellectual Property
Company and licensors retain ownership of the Service and Software. Feedback you provide may be used by Company without restriction.
Confidentiality
Parties must protect Confidential Information and not disclose it except as needed. This does not apply to public or lawfully obtained information.
Compliance
Merchant is responsible for compliance with all applicable laws and regulations, including consumer protection, labeling, tax, and data protection.
Publicity
Company may use your name and logo in marketing materials. You may opt out by written notice.
Term
- Terms start upon acceptance and continue until terminated.
- We may suspend for non-payment, violations, risks, or legal requirements.
- Either party may terminate for cause with notice; you may cancel per your Subscription terms.
- Upon termination, access ends but certain sections survive.
Warranties
Each party represents it has authority to enter into these Terms. Company will provide the Service in a professional manner in line with documentation.
Limitation of Liability
Neither party is liable for indirect or consequential damages. Liability is limited to fees paid in the past six months. These limits do not apply to payment obligations or liability not limitable by law.
Indemnification
You will indemnify the Company for third-party claims arising from your operations, data, menu content, use of third-party services, disputes, or legal breaches. Company is not responsible for claims outside its control.
Changes to the Service or Terms
We may modify the Service or Terms. Material changes will be notified via Admin Console, email, or in-app notice. By continuing to use the Service after the effective date, you accept the changes.
Governing Law
These Terms are governed by the laws of the Republic of the Philippines. Disputes shall be filed exclusively in Cebu City courts. You may not assign without consent, except to a successor. Company may assign freely.
Disclaimers
Except as expressly provided, the Service is provided “as is” without warranties of merchantability, fitness for a particular purpose, or error-free operation.
